Rules and Conditions.

Guarantees to The Online Applicant the following:
1. Providing be e-mail printable manuals for Dreamweaver, Photoshop, Flash,
HTML, ASP.
2. Providing access to online tutorials located at webtutorial.ca.
3. Providing three test tasks for each subject. All tasks have to be completed
according to Web Systems Int. specifications and will require knowledge of
provided manuals only. Each task cannot take more than one week for completion.
It is Applicant’s responsibility to contact Web Systems Int. without
any delays in order to get test tasks. The Applicant will receive each following
test task only after finishing the previous one.
4. Web Systems Int. projects’ assignments.
This part will start after The Applicant completed all three test tasks for
each subject, will last from 3 weeks up to three months( in case The Applicant
cannot do the assignments fast) and will contain three projects’ assignments.
The parts of these projects will be given to The Applicant as a job tasks.
It is The Applicant’s responsibility to contact Web Systems Int. without
delays in order to be assigned projects. The Applicant must use his/hers own
tools, computers and programs to perform the projects. The Applicant has the
right to organize his/her time himself / herself. He/she must make all the
necessary changes required by the company to finish the projects. No technical
support will be provided from Web Systems Int. for assignments and The Applicant
is the only person responsible for solving all technical problems he/she may
have during the program. It is his/hers responsibility to find needed information,
books or tutorials, study them, test and debug the sources.
The Applicant has up to three months for three projects (maximum one month
for each of three projects) and it is his/her responsibility to complete the
projects in order to get the working experience and be ready for the job. The
Applicant must inform Web Systems Int. about the status of the project at least
weekly or ‘on demand’; sending all the project files to Web Systems
Int. If The Applicant fails to do so or does not finish any from given to him/her
projects in time or they do not meet company’s requirements Web Systems
Int. can stop the Internship Program any time without any further Web Systems
Int. obligations regarding this agreement.
The Applicant will receive second and third projects only after finishing
the previous one. All projects must meet company’s requirements described
here and provided later.
These assignments are used only to give working experience required by future
employers and cannot be considered as a job placement. There will not be any
payments from the company to The Applicant during this period of time.
The Applicant
1. Irrevocably waves all moral, personal and other rights in respect of the
Works in favor of Web Systems Int. and any successors in title to the copyright
therein;
2. Represents and warrants that:
a) He/she is the sole author of the Works;
b) The Works are his/her original artistic work;
c) He/she has no reason to believe, and no claim has been made, that the reproduction
and use of the Works would infringe the rights of any third party, or that
the rights in the Works belong to any third party.
All results of The Applicant’s projects will become property of Web
Systems Int. The Applicant must provide to Web Systems Int. all the source
files for the projects – all HTML, ASP, PSD, FLA, GIF, JPG files and
all other files that will be involved into the projects. . If The Applicant
uses sources of any third party – images, photos, codes, etc., the responsibility
for using these sources completely belongs to The Applicant.
Web Systems Int. has the right to demonstrate and use The Applicant’s
work as a work performed by the company. Web Systems Int. guarantees that all
completed projects will be posted to the Internet that can prove The Applicant’s
experience.
5. Confidentiality.
RECITALS:
(a) Web Systems Int. is in possession of and holds copyright and other intellectual
property rights in Proprietary Information (as herein defined);
(b) The Applicant wishes to evaluate one or more products and to facilitate
such evaluation (the "Evaluation") the Applicant will receive Proprietary
Information from Web Systems Int.; and
(c) The Applicant has agreed to keep confidential all of the Proprietary Information
in accordance with the terms of this Agreement.
NOW THEREFORE THIS AGREEMENT WITNESSETH that in consideration of Web Systems
Int. disclosing the Proprietary Information on parts thereof to the Applicant
the parties agree as follows:
In this Agreement, "Proprietary Information" means and includes any
and all information, materials, schematics, drawings, specifications, trade
secrets, know- how, software programs, audio tapes, algorithms, test data and
technical and other (including, without limitation, marketing and sales) information,
whether given in writing or orally, or by way of demonstration or sample, relating
to one or more possible products based upon the Technique, and improvements
to any of the foregoing, and any information that may be deduced or developed
by the Applicant from any of the foregoing.
"
Proprietary Information" does not include:
(a) Information which can be established as having been known by the prior
to the disclosure of such information by Web Systems Int.;
(b) Information which can be demonstrated to have been in the public domain
at the time of disclosure by Web Systems Int., or which has subsequently been
made a part of the public domain by Web Systems Int. or others, without the
fault of the Applicant;
(c) information disclosed by Web Systems Int. and specified in writing as not
constituting Proprietary Information; or
(d) Information subsequently disclosed to the Applicant by a third party having
no obligation of secrecy to Web Systems Int.
The Applicant may not make notes, sketches, drawings or copies of any Proprietary
Information without Web Systems Int. prior written consent.
The Applicant will receive and at all times maintain the Proprietary Information
as confidential and shall not disclose, provide or otherwise make available,
in whole or in part, the Proprietary Information to any third party. The Applicant
will safeguard the Proprietary Information in the same manner as that in which
he protects his own confidential information.
The Applicant will use the Proprietary Information only for the limited purpose
of the Evaluation. The Applicant may not utilize any part of the Proprietary
Information in any commercial enterprise on his own behalf or for others.
All samples, drawing, specifications, written materials, audiotapes, computer
discs, notes, and other data and materials forming part of the Proprietary
Information (including any notes, sketches, drawings and copies made by the
Applicant as permitted by paragraph 2) will be and remain the property of Web
Systems Int., and will be returned to Web Systems Int. forthwith upon demand.
At Web Systems Int. request, the Applicant will deliver a statutory declaration
signed by the Applicant (or, if the Applicant is a corporation, by a senior
officer of the Applicant) to the effect that all such property has been returned
to Web Systems Int.
The Applicant acknowledges that breach of any of the covenants in this Agreement
could cause Web Systems Int. to suffer loss that could not be adequately compensated
for by damages and that, in addition to the right to claim damages in respect
of any breach, Web Systems Int. will be entitled as a matter of right to seek
an injunction or other similar relief against the Applicant.
This Agreement will not operate to prevent disclosure of the Proprietary Information
by the Applicant to the extent required by law, provided that, forthwith upon
becoming aware of a risk of being required to make such disclosure, the Applicant
advises Web Systems Int. of the alleged requirement and prior to any such disclosure
the Applicant takes all reasonable steps to have the person to whom the Proprietary
Information is to be disclosed agree to retain such Information in confidence.
In this Agreement, words importing the singular include the plural and vice
versa and words importing gender include all genders.
6. Employment.
The Applicant has the right to include information about the Internship experience
in his/her resume, mention all the links for the company’s web pages
containing The Applicant’s work to show future employers his/her professional
level and working experience.
The Applicant has the right to get Web Systems Int.’s references about
his/her work with the company within one year upon completion of the projects.

8. Fee.
Registration fee is $500 and is paid at the time of registration for the Internship
Program online be Paypal or by money transfer (e.g. Western Union) to Web Systems
Int. located at 120 Eglinton Ave. East, Unit #1100, Toronto, ON, M4P 1E2.
* Manuals may not fit particular applicant’s home computer because of
different versions of the programs and Windows operating system that may be
installed. Web Systems Int. is not responsible for typo’s that may be
found in manuals, however it will be fully appreciated getting this information
from the applicants. Registration fee is not refundable.
